§ 1Scope, provider
(1) These General Terms and Conditions ("Terms") apply to all contracts entered into between

(hereinafter "RY3T", "we" or "us") and the customer (hereinafter "customer" or "you") via the online platform nova.ry3t.com and related websites.
(2) These Terms apply to consumers and businesses alike. Consumers with habitual residence in Germany or Austria additionally benefit from the mandatory provisions of their respective national consumer protection law (in particular the BGB and EGBGB in Germany and the KSchG and FAGG in Austria).
(3) Deviating, conflicting or supplementary terms of the customer only become part of the contract if RY3T has expressly agreed to their application in writing.
§ 2Subject of contract
Subject of the contract is the reservation and sale of the RY3T NOVA, a Swiss energy product for the local conversion of photovoltaic surplus electricity (the "product"), and related services such as delivery and remote support.
§ 3Contract formation
(1) The presentation of the product on our website does not constitute a legally binding offer but an invitation to submit an offer (invitatio ad offerendum).
(2) By completing the reservation form and paying the deposit via PayPal, the customer submits a binding offer to enter into a reservation agreement.
(3) The reservation agreement is formed when RY3T confirms receipt of the reservation and deposit by email.
(4) The reservation grants the customer a preferred opportunity to obtain an RY3T NOVA from the first series. It does not give rise to any claim for a specific delivery time or delivery date.
(5) The final purchase agreement is only concluded once RY3T requests the customer to pay the remaining balance and the customer accepts that request or pays the remaining balance. The deposit is credited in full toward the purchase price.
(6) Should the purchase agreement not come about — for example because RY3T cancels the reservation under § 4 or the customer cancels under § 4 para. 3 — the deposit will be refunded in full.
(7) RY3T stores the contract text (reservation, confirmation) electronically. The customer receives the essential contract elements in text form with the confirmation email.
(8) The contract language is English (with the legally authoritative German version available at /agb.html).
§ 4Reservation, deposit and refund
(1) The reservation of the RY3T NOVA requires a deposit per reserved unit of CHF 500 for delivery addresses in Switzerland or EUR 500 for delivery addresses in Germany or Austria.
(2) The deposit is fully credited toward the purchase price upon conclusion of the subsequent purchase agreement or upon payment of the remaining balance.
(3) The customer may cancel the reservation at any time up until the request to pay the remaining balance, or until prior to shipment, without giving reasons. In such case RY3T refunds the deposit in full. Mandatory statutory rights of withdrawal, rescission and warranty remain unaffected.
(4) RY3T may cancel the reservation if series production, financing, certification, sourcing or delivery is not possible or not possible in time. In such case the customer receives the deposit back in full.
(5) The deposit is not a financing arrangement, loan, participation or investment, and does not establish any entitlement to interest, profit-sharing or other return.
(6) RY3T treats reservation payments internally as refundable customer funds, accounts for them separately and does not use them for ongoing operations as long as they remain refundable.
(7) The reservation is limited to a first series of 100 units. RY3T reserves the right to close reservations once the contingent is reached.
(8) Cancellation can be made informally by email to energy@ry3t.com stating the reservation number. No processing or cancellation fees apply.
§ 5Prices and payment
(1) For consumers, all prices indicated on the website are final prices including any applicable VAT or sales tax. Shipping costs are itemized separately before the order is concluded, or — if not yet determinable at the time of reservation — communicated transparently before the remaining balance is due.
(2) The pre-sale purchase price per RY3T NOVA for the first 100 units is expected to be:
- Switzerland: CHF 1,499 incl. VAT
- Germany / Austria: EUR 1,811 incl. VAT
After the pre-sale ends, the price increases to CHF 1,699 incl. VAT or EUR 1,999 incl. VAT per unit respectively.
(3) The deposit is CHF 500 or EUR 500 and is credited in full toward the purchase price upon conclusion of the purchase.
(4) The remaining balance is due before delivery. RY3T will inform the customer in good time before shipment about the exact amount, shipping costs and payment terms.
(5) In case of default of payment after a reminder, RY3T is entitled to cancel the reservation. Any deposits already paid will be refunded, unless statutory or contractual counter-claims exist.
§ 6Delivery
(1) Delivery is made to the address indicated by the customer in the reservation, within Switzerland, Germany or Austria.
(2) Delivery of the first series is currently expected to be planned for August 2026. No binding delivery date is hereby promised. Delays may arise from production, financing, certification, supply chains, technical adjustments or other factual reasons. RY3T keeps the customer regularly informed about production and delivery status by email.
(3) The customer's cancellation right under § 4 para. 3 remains in place throughout the reservation and preparation phase. If RY3T is unable to deliver, the deposit will be refunded in full pursuant to § 4 para. 4.
(4) Shipping costs are not included in the purchase price. They depend on the delivery area, number of units and shipping method and will be itemized separately on the final invoice before shipment.
(5) For consumer contracts the risk of accidental loss or accidental deterioration of the goods passes to the customer only upon handover to the customer or a third party authorised to take delivery.
§ 7Transfer of ownership
As the full purchase price including shipping costs is payable before delivery, ownership of the goods transfers fully to the customer upon handover. There is no retention of title in favour of RY3T.
§ 8Right of withdrawal for consumers (Switzerland, Germany and Austria)
RY3T grants all consumers residing in Switzerland, Germany or Austria a uniform right of withdrawal of 14 days. For consumers in Germany and Austria this corresponds to the mandatory statutory right of withdrawal; for customers in Switzerland it constitutes a voluntary contractual undertaking with identical conditions.
For goods not yet delivered, the contractual cancellation right under § 4 para. 3 applies in addition to the statutory rights.
Withdrawal instructions
Right of withdrawal. You have the right to withdraw from this contract within fourteen days without giving any reason.
The withdrawal period expires fourteen days after the day on which you or a third party (other than the carrier) indicated by you acquires physical possession of the goods.

by means of an unequivocal statement (e.g. a letter sent by post or an email) of your decision to withdraw from this contract. You may use the model withdrawal form below, but it is not obligatory.
To meet the withdrawal deadline it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we shall reimburse all payments received from you without undue delay and in any event no later than fourteen days from the day on which we are informed about your decision to withdraw.
We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event you will not incur any fees as a result of such reimbursement.
We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.
You shall send back the goods or hand them over to us without undue delay and in any event no later than fourteen days from the day on which you communicate your withdrawal. The deadline is met if you send back the goods before the period of fourteen days has expired.
You shall bear the direct cost of returning the goods. You are only liable for any diminished value of the goods resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

§ 9Return shipping costs
The customer bears the direct costs of returning the goods. Returns are accepted exclusively to RY3T's business address in Wil, Switzerland, and in original or equivalent packaging. RY3T reserves the right to claim reasonable compensation for any diminished value if the goods are returned in a condition that represents a loss of value attributable to handling beyond what is necessary to establish their nature, characteristics, and functioning.
§ 10Warranty
(1) The statutory warranty rights apply. The warranty period for consumers is two years from handover of the goods.
(2) In case of defects, the customer is entitled, at their choice, to repair or replacement. If subsequent performance fails, the customer may rescind the contract or reduce the purchase price in accordance with statutory provisions.
(3) Obvious transport damage must be reported in text form without undue delay, at the latest within two weeks of receipt of the goods.
(4) Mandatory consumer protection rights remain unaffected.
§ 11Guarantee and service
(1) RY3T provides complimentary remote support for proper functioning of the product during the first year following delivery. The exact scope is set out in the service information accompanying delivery.
(2) Any manufacturer's guarantee beyond this, if granted, is specified separately. It supplements and does not restrict statutory warranty rights.
§ 12Liability
(1) RY3T is liable without limitation for intent and gross negligence, for injury to life, body or health, and under mandatory product liability law.
(2) For slight negligence, RY3T is only liable in case of breach of material contractual obligations and is limited to the foreseeable damage typical for this type of contract, to the extent permitted by law.
(3) Any further liability is excluded to the extent permitted by law. Mandatory consumer rights remain unaffected.
(4) Where RY3T's liability is excluded or limited, the same applies to the personal liability of RY3T's employees, representatives and vicarious agents.
§ 13Data protection
Processing of personal data takes place in accordance with our Privacy Policy, available at ry3t.com/datenschutz.
§ 14Dispute resolution
RY3T is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration body, unless there is a mandatory statutory obligation to do so.
§ 15Applicable law and jurisdiction
(1) Swiss law applies to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG), unless overridden by mandatory consumer protection provisions.
(2) For consumers, the statutory places of jurisdiction apply. Mandatory venues and mandatory consumer protection provisions of the consumer's country of residence or habitual residence remain unaffected.
(3) Vis-à-vis entrepreneurs, the exclusive place of jurisdiction is Wil, Switzerland.
§ 16Final provisions
(1) Should any provision of these Terms be or become wholly or partly invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
(2) Amendments or supplements to these Terms must be in text form to be effective.
(3) RY3T reserves the right to amend these Terms, provided this does not affect essential contractual provisions. Customers will be informed of changes in good time.
